Abstract

corporate governance focuses on maximization of wealth of shareholders. The most fundamental challenge to the above view has come from stakeholders' model of the firm. My paper confines to stakeholders model of corporate governance in banks. We can identify four key constituents of banking governance viz, Board of directors, Management executives, shareholders, depositors and other clients.

The banking sector today is on the verge of privatization. The ownership of the bank is going to lie in the hands of the government, individual shareholders and institutions. As such the management of the bank will not be responsible and answerable to the Govt. but to other shareholders also, it is not only growth of deposits and loans there are many other activities in the area of housing finance, leasing, merchant banking, investment in shares and debentures of privates corporate, dealing in foreign exchange and derivatives.
